Microsoft spending $19.7B on Nuance and its AI for healthcare providers

Microsoft will buy Nuance at $56 per share, representing a 23% premium to Nuance’s closing price on Friday, April 9, 2021. The all-cash transaction is valued at $19.7 billion, inclusive of Nuance’s debt, according to a news release.

Nuance develops conversational AI and cloud-based ambient clinical intelligence for healthcare providers, including the Dragon Ambient eXperience, Dragon Medical One and PowerScribe One for radiology reporting. The company’s platforms work with core healthcare systems, including longstanding relationships with Electronic Health Records (EHRs).

According to the release, Nuance’s platforms are currently used by more than 55% of physicians and 75% of radiologists in the U.S., while they are also used in 77% of U.S. hospitals.

Microsoft said it accelerated its efforts to offer industry-specific cloud platforms, including the Microsoft Cloud for Healthcare, which it introduced last year. The acquisition of Nuance adds to this effort, with the companies building upon an existing partnership established in 2019.

By augmenting the Microsoft Cloud for Healthcare platform with Nuance’s offerings, Microsoft expects to better empower providers with ambient clinical intelligence and other cloud services. The company expects the acquisition to double its total addressable market in the healthcare provider space, bringing the value of the market to nearly $500 billion.

“Nuance provides the AI layer at the healthcare point of delivery and is a pioneer in the real-world application of enterprise AI,” Microsoft CEO Satya Nadella said in the release. “AI is technology’s most important priority, and healthcare is its most urgent application. Together, with our partner ecosystem, we will put advanced AI solutions into the hands of professionals everywhere to drive better decision-making and create more meaningful connections, as we accelerate growth of Microsoft Cloud for Healthcare and Nuance.”

Mark Benjamin will remain Nuance’s CEO and report to Microsoft EVP of cloud & AI, Scott Guthrie. The boards of both companies unanimously approved the deal, which is expected to close by the end of the calendar year, subject to approval by Nuance’s shareholders.

Upon closing, Microsoft expects Nuance’s financials to be reported as part of its intelligent cloud business segment. Microsoft anticipates that the acquisition will be minimally dilutive in 2022 and accretive in 2023 to non-GAAP earnings per share.

Abbott’s XIENCE Stent Receives EU Approval for One-Month Dual Anti-Platelet Therapy for High Bleeding Risk Patients

Abbott announced its XIENCE stent has received CE Mark in Europe for shorter duration of dual anti-platelet therapy (DAPT) – as short as 28 days, the shortest indication available in the world – for patients with high bleeding risk (HBR). The approval follows recent results from two studies that demonstrated both one-month or three-month DAPT followed by aspirin monotherapy is safe in HBR patients and is intended to improve patient outcomes and provide physicians more options to treat their patients. XIENCE is the most widely used stent worldwide and is the only stent to have evidence and data for both one-month and three-months DAPT followed by two different types of blood-thinning medication in HBR patients.

Patients who receive stents are typically on DAPT regimens (aspirin and antiplatelet drugs known as P2Y12 inhibitors to prevent blood clots) for six to 12 months to support vessel healing and prevent clotting from blocking the stented vessel. However, HBR patients can experience side effects such as bleeding during prolonged courses of DAPT. Abbott’s XIENCE 28 and XIENCE 901 studies show that DAPT can be safely discontinued early – as short as 28 days – with no increased risk in patient adverse events, further confirming the industry-leading safety profile of the XIENCE stent.

“The results of the studies examining the XIENCE stent in high bleeding risk patients with shorter durations of dual anti-platelet therapy were highly consistent – with no increase in cardiac events and significant reduction in severe bleeding. To see such consistency is important for physicians seeking the best possible outcome for our patients,” says Marco Valgimigli, M.D., Ph.D., deputy chief of CardioCentro Ticino, Lugano, Switzerland and professor of cardiology at the University of the Italian Switzerland (USI).

The XIENCE 28 and XIENCE 90 clinical trials enrolled more than 3,600 participants from Europe, the Americas and Asia. The studies monitored two different DAPT durations – one-month and three-months – in exclusively HBR patients. The results are consistent and conclusive: patients who receive the XIENCE stent with shorter DAPT durations do not have an increase in cardiac events and showed a reduction in severe bleeding, proving short DAPT strategies with the XIENCE stent are safe in HBR patients.

“In patients with high bleeding risk, the XIENCE stent has proven that it can ensure patient safety without compromising efficacy when duration of blood-thinning medications is shortened,” says Nick West, M.D., chief medical officer and divisional vice president of global medical affairs at Abbott’s vascular business. “These findings build on the unrivalled volume of research confirming the XIENCE stent’s leading performance across a range of patient and clinical situations.”

For years, the global interventional cardiology community has focused on research and innovation to support shorter DAPT treatments for patients requiring stents but who may be at a higher risk of bleeding. Abbott has conducted the clinical research needed to evaluate the safety of the XIENCE stent in patients using a shorter DAPT duration. These investments in clinical research have built a body of evidence that has impacted what has long been the standard of care for patients after coronary stenting. The XIENCE stent is used in life-saving treatments that can help prevent or treat heart attacks and has now consistently been proven safe with short DAPT strategies for HBR patients. Abbott is also seeking an indication for HBR for the XIENCE stent in the U.S.

Hologic, Inc., a global leader in women’s health, announced that it has signed a definitive agreement to acquire Mobidiag Oy, a privately held, commercial-stage Finnish-French developer of innovative molecular diagnostic tests and instrumentation, for an enterprise value of approximately $795 million. This includes a cash payment of approximately $714 million (€600 million) for Mobidiag’s equity, and net debt of approximately $81 million.

“Acquiring Mobidiag will further strengthen our international and diagnostics businesses by enabling us to expand into the large, fast-growing acute care adjacency with a near-patient testing solution that offers ease of use, multiplex capability and rapid turnaround time,” said Jan Verstreken, group president, international at Hologic. “We believe that Mobidiag has developed a differentiated platform that addresses many of the historical challenges of multiplexed point-of-care molecular testing.”

“We are very excited to join Hologic’s diagnostic business,” said Tuomas Tenkanen, Mobidiag’s chief executive officer. “Hologic’s commercial expertise and scale will drive broader market adoption of our products, and their established U.S. regulatory and market development capabilities will accelerate the introduction of our products and maximize their potential in the United States.”

Mobidiag develops and markets PCR (polymerase chain reaction)-based tests for acute care conditions such as gastrointestinal and respiratory infections, antimicrobial resistance management, and healthcare associated infections. The Amplidiag and Novodiag platforms are automated instruments that deliver rapid turnaround times ranging from 50 minutes to two hours.

The Novodiag platform combines real-time PCR and microarray capabilities to provide high-level multiplexing. Multiplexing enables multiple pathogens to be identified in a single sample, streamlining workflows for laboratories and providing rapid results to physicians. For example, gastrointestinal infections commonly present with similar or identical symptoms but can be caused by more than 25 organisms. Highly multiplexed assays allow clinicians to identify which organism is responsible for an infection quickly, accurately and efficiently.

“One of our key goals is to use our strong cash flow to create a larger, faster growing company for a post-pandemic world,” said Steve MacMillan, Hologic’s chairman, president and chief executive officer. “Mobidiag provides an exceptional new growth platform, which will generate long-term value by enabling us to enter the acute care market, which is expected to roughly double in the next five years, with a differentiated, highly competitive solution.”

Mobidiag generated approximately $42 million (€35 million) of revenue in calendar 2020. Hologic intends to invest in assay development to drive growth of the Novodiag platform. As a result, the acquisition is expected to be approximately $0.10 dilutive to Hologic’s non-GAAP earnings per share in fiscal 2022, slightly dilutive in 2023, and accretive thereafter. Hologic expects to finance the transaction with cash on hand and borrowing on its existing line of credit.

The acquisition is expected to close early in the fourth quarter of fiscal 2021, subject to receipt of certain required regulatory approvals and other customary closing conditions.

What Is Vitiligo?

Vitiligo is an autoimmune condition that affects 1 to 2 percent of the global population, meaning millions of people live with vitiligo. Vitiligo is not a contagious disease. While scientists aren’t sure of the exact cause, vitiligo is considered to be an autoimmune disease, with a genetic predisposition and environmental factors (like stress) at play in most cases. An autoimmune disease is one in which the body’s immune system mistakenly attacks its own healthy tissues as if they were invading harmful agents such as viruses or bacteria. In the case of vitiligo, the body attacks the melanin in the skin. Melanin gives the skin its color — the less melanin in the skin, the lighter it is.

Myth #2: You Can Cure Vitiligo and Return the Skin Back to Its Original Color

A cure for vitiligo is not yet known, but various vitiligo treatments exist. These include topical medications, oral medications, ultraviolet (UV) therapy, and surgeries such as skin grafts. Existing therapies satisfactorily manage or slow progressions of vitiligo in approximately 75 percent of people affected by the disorder.

Corticosteroids, in particular, can stop the progression of vitiligo in approximately 4 out of 5 people affected by the condition. Systemic corticosteroids are a potent treatment, however, and their use comes with the risk of possible side effects. For this reason, corticosteroids aren’t widely prescribed to every person with vitiligo. Research is ongoing in an effort to find a cure for vitiligo.

A lot of people ask “Is vitiligo hereditary?” Vitiligo is not solely genetically transmitted, meaning it is not a condition that is inherited from your parents or close family members.
